1. Scope
This document is effective as of 11 October 2026.
These Terms govern access to and use of the Yofatik CRM software (the "Service") at crm.yofatik.com, together with its applications and application programming interfaces (APIs), developed and operated by CMC Media Joint Stock Company (the "Provider", "we" or "us").
By registering an account, signing a contract or using the Service, the subscribing business (the "Customer") confirms that it has read, understood and agrees to these Terms and the policies referenced in them. The person accepting on the Customer's behalf represents that they are authorised to do so.
Where the Customer and the Provider have signed a separate service contract, that contract prevails over these Terms to the extent of any conflict.
2. Definitions
- Customer: the organisation or household business that subscribes to and uses the Service for its business.
- User: an individual given an account by the Customer (owner, manager, sales, warehouse, accounting staff, etc.).
- Customer Data: all data entered, synchronised or generated by the Customer or its Users in the Service, including end-customer details, orders, messages, products, inventory and advertising figures.
- End Customer: a buyer or person who contacts the Customer through a connected channel (fanpage, landing page, etc.).
- Third-Party Platform: a service operated by another party that the Service connects to, such as Facebook/Meta, TikTok, Google, Nhanh.vn, Viettel Post and Telegram.
- Plan: the features, number of users and channels and fees the Customer subscribes to under a quote or contract.
3. The Service
Yofatik CRM is an omnichannel sales operations software provided as a service (SaaS). Its main capabilities are:
- A unified inbox for Facebook fanpage messages, comments and ratings;
- Order management and workflows, including draft orders from landing-page forms;
- Customers, products, bundles and price schedules; warehouses and inventory;
- Shipping integrations with Nhanh.vn and Viettel Post;
- Landing page building, hosting and conversion tracking;
- Ad campaign analytics and automated rules on Meta Ads; reconciliation of Facebook ad invoices against bank statements;
- A partner order API, roles and permissions, audit logs, Excel export and Telegram notifications.
The exact features of each Plan are set out in the quote or contract. We may improve, add or change features and the interface; changes that materially reduce features the Customer is paying for will be announced in advance.
4. Accounts and sign-in security
- The Customer provides accurate, complete registration details and keeps them up to date.
- The Customer manages its Users, roles and permissions and is responsible for all actions taken with accounts belonging to its business.
- Users keep their passwords confidential, do not share accounts, and notify us promptly of any unauthorised access.
- We may temporarily lock an account that appears compromised or misused in order to protect the Customer, and will notify the Customer as soon as practicable.
5. Fees and payment
Fees, billing cycle and renewal terms are as set out in the quote or contract confirmed by both parties. Payment methods, invoicing, renewal, cancellation and refunds are governed by the Payment & Refund Policy.
The Provider's fees do not include amounts the Customer pays directly to Third-Party Platforms (advertising spend, shipping fees, carrier service charges, etc.).
6. Customer Data
The Customer retains all rights in Customer Data. The Provider processes Customer Data only to provide, maintain, support and improve the Service on the Customer's instructions, and does not sell or rent Customer Data to anyone.
For personal data of End Customers, the Customer is the data controller and the Provider is the data processor. Each party's rights and obligations are set out in the Data Processing Agreement. Processing of account data and website visitor data is described in the Privacy Policy.
The Customer is responsible for having a lawful basis (consent or another basis permitted by law) to collect End Customers' personal data and bring it into the Service.
7. Third-Party Platforms
Some features work only when the Customer connects its own accounts on Third-Party Platforms (fanpages, ad accounts, carrier accounts, etc.). By connecting, the Customer authorises the Service to access and act within the permissions the Customer grants.
- The Customer complies with the terms and policies of each Third-Party Platform, including Meta's platform and advertising policies.
- Actions taken by the Customer, or by automated rules the Customer configures (pausing or enabling ads, changing budgets, creating shipments, etc.), are carried out for real on the Third-Party Platform and may incur costs; the Customer is responsible for its configuration.
- We are not responsible for outages, API changes, rate limits or account restrictions imposed by Third-Party Platforms, but will work to mitigate them and communicate the impact.
8. Acceptable use
The Customer and its Users must not use the Service for unlawful purposes, spam, trading in prohibited goods, infringing others' rights or interfering with the system. Prohibited conduct is detailed in the Acceptable Use Policy.
9. Intellectual property
The software, source code, interface, documentation, the Yofatik CRM marks and derivative works belong to the Provider or its licensors. The Customer receives a non-exclusive, non-transferable right to use the Service during the subscription term, solely for its internal business.
The Customer must not copy, reverse engineer, modify, resell or sublicense the Service, or use it to build a competing product. Content the Customer creates (landing pages, images, product descriptions, etc.) remains the Customer's.
10. Service quality and support
We work to keep the Service stable and secure. The target availability, incident severity levels and response times are described in the Service Level Agreement. Our safeguards are described on the Security page.
11. Limitation of liability
To the extent permitted by law, the Service is provided on an "as is" and "as available" basis. The Provider is not liable for indirect damages, loss of profit or loss of business opportunity arising from the use of or inability to use the Service, except where caused by the Provider's wilful misconduct or serious breach.
Unless the contract provides otherwise, the Provider's total aggregate liability for all claims in any year will not exceed the fees the Customer paid to the Provider in the 12 months preceding the event giving rise to the claim.
Neither party is liable for failure to perform due to force majeure as defined by law, provided it gives timely notice and takes reasonable steps to limit the damage.
12. Suspension and termination
- The Customer may stop using the Service following the procedure in the Payment & Refund Policy or the contract.
- The Provider may suspend the Service if the Customer is overdue on payment after a reminder, or breaches these Terms or the Acceptable Use Policy; in serious cases, or when required by a competent authority, suspension may be immediate.
- After termination, the Customer has a reasonable period (30 days by default unless the contract says otherwise) to export its data using the built-in Excel export tools or with our assistance. After that period, data is deleted or anonymised, except where the law requires retention.
13. Changes to these Terms
We may update these Terms when the Service or the law changes. Material changes will be announced by email or in the application at least 15 days before they take effect. Continued use of the Service after that date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the Socialist Republic of Vietnam, including the Civil Code, the Law on Electronic Transactions 2023, the Law on Cybersecurity 2018 and their implementing regulations. The parties will first try to resolve any dispute through negotiation and mediation; if unresolved within 30 days of a written request, the dispute will be brought before the competent People's Court in Hanoi.
